1. Acceptance of Terms

By accessing or using InvestorTrading ("the Site," "we," "us," "our"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Site.

2. No Investment Advice

All content on this Site — including but not limited to options flow data, scoring models, trade ideas, commentary, and educational material — is provided for informational and educational purposes only. Nothing on this Site constitutes personalized investment advice, a recommendation to buy or sell any security, or a solicitation of any transaction.

InvestorTrading is not a registered investment adviser, broker-dealer, or financial planner. You should consult a licensed financial professional before making any investment decision.

3. No Fiduciary Relationship

Use of this Site does not create a fiduciary, advisory, or professional relationship between you and InvestorTrading, its founders, employees, or contributors.

4. Assumption of Risk

Trading and investing involve substantial risk of loss and are not suitable for every investor. You acknowledge that:

Any trade ideas, signals, or analysis presented may be incomplete, delayed, or inaccurate.

You are solely responsible for your own investment decisions and their outcomes.

You should only trade with capital you can afford to lose.

5. No Guarantees

We make no representations or warranties regarding the accuracy, completeness, or timeliness of any content on the Site. Market data, options flow analysis, and scoring models are based on available information and proprietary methodology, which may contain errors or be subject to change without notice.

6. Limitation of Liability

To the fullest extent permitted by law, InvestorTrading and its founders, employees, contributors, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from:

Your use of or reliance on any content, data, or analysis on the Site;

Any trading or investment decision made based on Site content;

Errors, omissions, interruptions, or inaccuracies in the Site's content or availability.

This limitation applies regardless of the legal theory asserted (contract, tort, negligence, or otherwise), even if we have been advised of the possibility of such damages.

7. Indemnification

You agree to indemnify and hold harmless InvestorTrading and its founders, employees, and affiliates from any claims, losses, liabilities, damages, or expenses (including attorney's fees) arising from your use of the Site or violation of these Terms.

8. Third-Party Content and Links

The Site may reference or link to third-party data providers, tools, or content. We do not endorse and are not responsible for the accuracy or reliability of third-party content.

9. Intellectual Property

All content, methodology, scoring models, and materials on the Site are the property of InvestorTrading and may not be reproduced, distributed, or used commercially without written permission.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. Continued use of the Site after changes constitutes acceptance of the updated Terms.

11. Governing Law and Dispute Resolution

These Terms and Conditions, and any dispute arising out of or related to your use of the Site, shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any content, data, or analysis provided on the Site shall be resolved as follows:

Binding Arbitration. Except as set forth below, any dispute shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court. The arbitration shall take place in the State of Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver. Any arbitration or proceeding shall be conducted only on an individual basis and not as a class, consolidated, or representative action. You and InvestorTrading each waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions. Either party may bring an individual action in small claims court, and InvestorTrading may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

Venue. For any matter not subject to arbitration, the state and federal courts located in Delaware shall have exclusive jurisdiction, and you consent to personal jurisdiction and venue in those courts.
